Terms of Service
Effective July 10, 2026
These Terms of Service (the “Terms”) govern your access to and use of Roga Dispatch (the “Service”), a software-as-a-service dispatch platform operated by Roga Digital of Cumberland, British Columbia, Canada (“Roga Digital”, “we”, “us”). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the organization you represent (the “Customer”). If you do not agree, do not use the Service.
1. Accounts and organizations
When you sign up you create an organization workspace and become its first administrator. You are responsible for the accuracy of your registration details, for maintaining the confidentiality of your credentials, and for all activity that occurs under your organization’s accounts. You must promptly notify us of any unauthorized use. The Service is offered for business and commercial use by organizations; it is not offered to individuals acting as consumers.
2. Billing, fees, and credits
2.1 Subscription and payment
The Service requires a paid subscription, which begins when you create your organization. A valid payment method is required when the organization is created, before the Service can be used. The current price is CAD $149 per month, per organization, billed monthly to the payment method on file, unless otherwise agreed in writing. Fees are exclusive of applicable taxes, which we collect where required.
2.2 Price and pricing changes
We may change our fees, or change the structure of our pricing (for example, by introducing usage-based or per-trip pricing), on at least 30 days’ advance written notice by email to the address on file with your account. A change takes effect at the start of the first billing period after the notice period ends. You may cancel your subscription before the change takes effect; continued use of the Service after the effective date constitutes acceptance of the new pricing.
2.3 Fair use
You agree to use the Service in good faith. If we reasonably determine that usage patterns are structured to manipulate or circumvent any usage-based charges, we may, on notice to you, move your organization to a flat monthly plan or otherwise adjust the billing arrangement to reflect actual use.
2.4 Credits
We may grant promotional account credits at our discretion. Credits have no cash value, are non-refundable and non-transferable, and apply only against subscription fees. Credits may carry an expiry date or other conditions stated when they are granted, and may be revoked if your account is terminated or in cases of fraud or abuse.
2.5 Failed payments and suspension
If a payment fails, we will attempt to notify you and to retry the charge. After reasonable retry attempts and notice, we may suspend access to the Service until the outstanding balance is paid. Customer Data is retained as described in Section 8 (Termination).
2.6 Cancellation and refunds
You may cancel at any time; cancellation stops future charges and takes effect at the end of the current billing period. If your subscription ends without an active paid plan, access to the Service is suspended while your data is retained for a reasonable period. Fees are non-refundable except where required by law.
3. Customer data
You retain all rights to the data your organization enters into the Service, including information about your clients, drivers, trips, and billing (“Customer Data”). You grant us a limited licence to host, process, and transmit Customer Data solely to provide and support the Service. You are responsible for ensuring you have the necessary rights and consents to provide any personal information contained in Customer Data, and for using it in compliance with applicable privacy laws. 4. Acceptable use
You agree not to misuse the Service, including by attempting to access it through means other than the interfaces we provide, interfering with its operation or security, reverse engineering it, or using it to violate any law or the rights of others. We may suspend access to protect the Service, other customers, or third parties.
5. Availability and changes
We work to keep the Service available but do not guarantee uninterrupted operation. We may modify, add, or discontinue features over time. We may update these Terms; material changes will be communicated through the Service or by notice to your organization’s administrators, and continued use after changes take effect constitutes acceptance.
6. Warranty disclaimer
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
7. Limitation of liability
To the fullest extent permitted by law, Roga Digital will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data. Our total liability arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve months preceding the event giving rise to the claim.
8. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or fail to pay applicable fees. On termination, your right to use the Service ends; we will make Customer Data available for export for a reasonable period before deletion, except where retention is required by law.
9. Governing law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in British Columbia will have exclusive jurisdiction over any dispute arising from these Terms or the Service.
